Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“Contractor,” “you,” or “your”) and Looky (“Looky,” “we,” “us,” or “our”). By creating an account, embedding Looky on any property, or otherwise using the Looky service, you agree to these Terms. If you do not agree, do not use Looky.

1. What Looky Is — and Is Not

Looky is a technology and operations provider. We offer tools, systems, and operational services that allow Contractors to produce digital content and services which Looky, in turn, makes available to end customers through Looky-operated checkout flows that Contractors embed on their own websites.

For the avoidance of doubt, Looky is not:

• a marketplace;
• a platform connecting independent buyers and independent sellers;
• a payment facilitator, payment aggregator, or payment service provider;
• a money service business (MSB) or money transmitter;
• an independent payments processor.

All payments are processed by Stripe, Inc. (“Stripe”). Looky operates the Stripe account that is the merchant of record for transactions, and Looky is the party responsible to Stripe for that account and its compliance obligations.

2. Your Role — Independent Contractor to Looky

You are engaged by Looky as an independent contractor providing creator services to Looky. You are not an independent merchant, a seller on a platform, a sub-merchant, a Looky affiliate, a Looky employee, a Looky agent, a franchisee, or a joint venturer. You do not operate your own payments business using Looky as infrastructure.

As a Contractor, you:

• produce digital content or services (the “Contractor Deliverables”);
• make Contractor Deliverables available through Looky checkout flows embedded on websites you control;
• rely on Looky to handle payment processing, customer receipts, refunds, disputes, operational support, and payout of your contractor fee;
• receive a contractor fee from Looky, calculated as a percentage of gross transaction amounts net of Stripe’s processing fees and Looky’s service fee.

You do not collect funds directly from end customers. Looky collects funds through its Stripe account and, on the schedule published in your dashboard, remits your contractor fee to you. You acknowledge that this structure is material to Looky’s compliance posture with Stripe and with applicable payments regulation, and you agree not to hold yourself out to the public as anything other than a Contractor to Looky with respect to the activities governed by these Terms.

4. Other Prohibited Activities

You may not use Looky in connection with:

• any illegal product, service, or activity;
• regulated goods or services for which you lack the required licenses;
• intellectual property infringement, piracy, or counterfeit goods;
• harassment, hate speech, threats, doxxing, or targeted abuse;
• graphic violence or content glorifying violence;
• any content involving minors in a sexual, exploitative, or endangering context;
• fraud, misrepresentation, or deceptive practices;
• any activity appearing on Stripe’s Restricted Businesses list or otherwise prohibited by Stripe.

5. Payments and Stripe

All payment processing is performed by Stripe under Stripe’s terms, which you acknowledge apply to the payment flows Looky operates. Looky’s Stripe account is the merchant of record for transactions. You do not need — and do not maintain — your own Stripe account to receive contractor fees in connection with Looky.

Chargebacks, refunds, and payment disputes are handled by Looky. Contractor fees for transactions that are later refunded or charged back will be reversed from your balance.

6. Fees

Looky deducts a service fee and Stripe’s processing fees from gross transaction amounts. Your contractor fee is the remainder. Current rates are published on our pricing page and may be updated from time to time; material changes will be communicated in advance.

7. Termination

We may suspend or terminate your account at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your access to Looky ends, Looky-operated checkout on your embeds is disabled, and pending contractor fees may be forfeited where termination is for cause. We may retain records as required by applicable law.

8. No Warranty

Looky is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied. We do not warrant that the service will be uninterrupted, timely, secure, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Looky’s aggregate liability to you is limited to the amount of contractor fees paid to you in the six (6) months preceding the event giving rise to the claim. In no event will Looky be liable for indirect, consequential, incidental, special, or punitive damages.

10. Governing Law

These Terms are governed by the laws of the jurisdiction in which Looky is organized, without regard to conflict-of-laws principles.

11. Changes

We may update these Terms from time to time. The updated Terms will be posted with a new effective date. Continued use of Looky after a change constitutes acceptance.
